Terms of Service
Effective date: April 25, 2026. These Terms govern access to and use of BotPM, including the BotPM website, application, software, AI features, integrations, APIs, and related services provided by Dritarr INC ("Dritarr," "Company," "we," "us," or "our").
1. Agreement
By accessing or using BotPM, you agree to these Terms. If you use BotPM on behalf of a company or organization, you represent that you have authority to bind that organization. If you do not agree, do not access or use BotPM.
2. Eligibility
You must be at least 18 years old and legally able to enter into a binding agreement to use BotPM. You are responsible for ensuring that your users, employees, contractors, and representatives comply with these Terms.
3. The service
BotPM provides project management, portfolio management, productivity, planning, task organization, communication, automation, and AI-assisted functionality. BotPM is a productivity tool only. It is not legal, financial, tax, medical, employment, compliance, security, or other professional advice.
4. Accounts
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate information, promptly update it, and notify us of suspected unauthorized access.
5. User content
You retain ownership of content, data, text, files, prompts, messages, project information, documents, and other materials you submit to BotPM ("User Content"). You grant Dritarr a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, reproduce, modify, and use User Content as necessary to provide, secure, support, improve, and operate BotPM and to comply with law.
You represent that you have all rights necessary to submit User Content and that your User Content does not violate any law, third-party right, confidentiality obligation, employment obligation, contractual restriction, or intellectual property right.
6. AI features and output
BotPM may include artificial intelligence or automated features that generate, summarize, classify, recommend, or analyze information ("AI Output"). AI Output may be inaccurate, incomplete, offensive, outdated, misleading, or unsuitable for your use case. You are solely responsible for reviewing, validating, and deciding whether to use AI Output.
You agree not to rely on BotPM or AI Output as the sole basis for decisions that may affect legal rights, employment, finances, safety, compliance, health, security, or material business operations.
7. Acceptable use
You must comply with our Acceptable Use Policy. You may not misuse BotPM, interfere with the platform, attempt unauthorized access, violate law, infringe rights, submit unlawful content, or use BotPM in high-risk environments where failure could cause death, injury, physical harm, environmental damage, or major financial loss.
8. Customer responsibilities
You are solely responsible for your use of BotPM, your User Content, your reliance on AI Output, your backups, your integrations and permissions, your business decisions, and your compliance with laws applicable to your business, employees, contractors, customers, and end users.
9. Third-party services
BotPM may integrate with third-party platforms, models, APIs, hosting providers, analytics tools, authentication providers, payment processors, or other services. Dritarr is not responsible for third-party services, content, policies, availability, security, actions, omissions, or terms.
10. Fees and payment
If BotPM offers paid services, you agree to pay all applicable fees, taxes, and charges. Fees are non-refundable except as required by law or expressly stated in writing. Failure to pay may result in suspension or termination of access.
11. Intellectual property
BotPM, including its software, design, branding, logos, interfaces, workflows, algorithms, documentation, and other materials, is owned by Dritarr or its licensors and is protected by intellectual property laws. Except for the limited right to use BotPM under these Terms, no rights are transferred to you.
12. Feedback
If you provide suggestions, ideas, bug reports, feature requests, or other feedback, you grant Dritarr a perpetual, irrevocable, worldwide, royalty-free right to use, modify, commercialize, and incorporate that feedback without restriction or compensation.
13. Confidentiality
You agree not to disclose non-public information about BotPM, including private features, beta functionality, pricing discussions, security information, technical materials, or other confidential information, unless authorized by Dritarr in writing.
14. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using BotPM, you acknowledge the Privacy Policy.
15. Availability and changes
BotPM may be modified, interrupted, suspended, limited, or discontinued at any time without liability. We do not guarantee uptime, availability, data retention, compatibility, or continued access unless a separate written agreement expressly says otherwise.
16. Beta features
Beta, preview, experimental, or early-access features are provided "as is," may be changed or removed at any time, and may be less reliable than other parts of BotPM.
17. Disclaimer of warranties
To the maximum extent permitted by law, BotPM and all related services, content, features, AI Output, and materials are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise. Dritarr disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, security, availability, and error-free operation.
18. Limitation of liability
To the maximum extent permitted by law, Dritarr INC, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, including loss of data, business interruption, lost revenue, lost goodwill, security incidents, system failures, or reliance on AI Output.
To the maximum extent permitted by law, Dritarr's total liability for any claim arising out of or relating to BotPM or these Terms will not exceed the greater of: (a) the amount you paid to Dritarr for BotPM in the three months before the event giving rise to the claim; or (b) one hundred U.S. dollars ($100).
19. Indemnification
You agree to defend, indemnify, and hold harmless Dritarr INC, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to your use or misuse of BotPM, your User Content, your violation of these Terms, your violation of law, your violation of third-party rights, your reliance on or use of AI Output, or your products, services, business operations, employees, contractors, customers, or end users.
20. Suspension and termination
We may suspend or terminate your access to BotPM at any time if we believe you violated these Terms, created risk, caused harm, failed to pay fees, or used BotPM in a way that may expose us or others to liability. Sections intended to survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and payment obligations.
21. Governing law and disputes
Unless a separate written agreement states otherwise, these Terms are governed by the laws of Canada and the province where Dritarr INC is incorporated or principally operates, without regard to conflict-of-law rules.
To the maximum extent permitted by law, disputes will be resolved by binding individual arbitration or, where arbitration is unavailable, in an individual action in the courts with jurisdiction over Dritarr INC. You and Dritarr waive any right to a jury trial and agree that disputes may only be brought individually, not as a class, collective, consolidated, or representative action.
22. Changes to these Terms
We may update these Terms from time to time. Updated Terms will be posted with a revised effective date. Continued use of BotPM after changes become effective means you accept the updated Terms.

These Terms are intended to reduce risk to the maximum extent permitted by law, but some liability cannot be excluded by contract. Dritarr should have qualified counsel review these documents before relying on them.
